Terms of Service

Introduction
These Terms of Service (the Terms) govern the use of the online marketplace platform neta.market (Neta or the Platform).
The Platform is operated by SIA NetaDEV, registration number 40203665238, with its registered address at Smiltenes nov., Variņu pag., "Lejaslazdiņi", LV-4726 (the Platform Operator or we).
By using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to any provision of these Terms, you must not use the Platform.
In addition to these General Terms, you should also review:
- Buyer Terms and Conditions - if you wish to purchase goods on the Platform;
- Seller Terms and Conditions - if you wish to sell goods on the Platform;
- Privacy Policy - regarding the processing of personal data.
1. Definitions
- Neta - the online marketplace platform neta.market, which provides the technical environment for communication between Buyers and Sellers, transactions, and delivery arrangements.
- Platform Operator - SIA NetaDEV, registration No. 40203665238, which operates and maintains the Neta platform.
- User - any person who visits or uses the Platform.
- Buyer - a registered User who purchases goods on the Platform.
- Seller - an independent maker or other person who offers and sells goods on the Platform.
- Order - a request for the purchase of goods confirmed by the Buyer.
- Delivery Partner - a third party (courier service) that provides the physical delivery of goods.
- Consumer - an individual who purchases goods for personal use outside their trade, business, craft, or profession.
- Purchase Agreement - the agreement between the Buyer and the Seller for the purchase of goods concluded through the Platform.
2. Role of Neta
2.1. Neta is an online marketplace that provides the technical environment for:
- communication between Buyers and Sellers;
- placement and administration of orders;
- payment facilitation (where applicable);
- delivery coordination.
2.2. Neta is not the seller, manufacturer, or owner of the goods. All goods made available on the Platform are offered by independent Sellers.
2.3. The Purchase Agreement is concluded directly between the Buyer and the Seller. Neta is not a party to that agreement.
2.4. Neta assumes no responsibility for the quality, conformity, or lawfulness of goods offered by Sellers.
3. Registration and Account
3.1. Full use of the Platform requires registration and creation of a user account.
3.2. The Platform may only be used by persons having legal capacity (persons who have reached 18 years of age or are duly authorized to act on behalf of another person).
3.3. The User undertakes to provide true and accurate information during registration and to keep such information up to date.
3.4. The User is fully responsible for the security of the account, including:
- maintaining the confidentiality of access credentials;
- all actions carried out through the account.
3.5. If the User suspects unauthorized access to the account, the User must notify Neta without delay.
4. Orders
4.1. An Order shall be deemed placed at the moment the Buyer confirms it on the Platform and:
- in the case of Stripe payments - upon successful processing of the payment;
- in the case of bank transfer payments - upon confirmation by the Seller.
4.2. Product descriptions, prices, availability, and production times are determined by the Seller. Neta does not guarantee the accuracy of such information.
4.3. The Seller may refuse an Order for objective reasons (for example, where the product is no longer available).
5. Payments
5.1. Stripe Connect Payments
Where the Seller has activated Stripe Connect, the Buyer may pay using payment cards, Apple Pay, Google Pay, and other payment methods supported by Stripe.
- the Buyer's payment includes the product price, delivery fee, and platform commission;
- Neta deducts the delivery fee and the platform commission (5% of the product price);
- the remaining amount is transferred to the Seller;
- payment processing is provided by Stripe, Inc. acting as an independent payment service provider.
5.2. Payments Outside Neta
Where the Seller does not accept Stripe payments, payment is made directly between the Buyer and the Seller (by bank transfer or other methods).
- Neta may prepare an informational order summary or invoice;
- Neta does not process or store payment details;
- Neta is not involved in the transfer of funds between the parties.
6. Delivery
6.1. Neta does not itself provide the physical delivery of goods.
6.2. Delivery is performed either by independent Delivery Partners (courier services) or by the Seller.
6.3. Delivery options:
- Delivery organized by Neta - the Seller may use delivery solutions offered through the Platform, where the delivery fee is included in the total payment;
- Delivery organized by the Seller - the Seller independently determines the delivery method, costs, and terms.
6.4. Neta shall not be liable for delivery delays or damage where caused by Delivery Partners or the Seller.
7. Commission and Fees
7.1. The platform commission is 5% of the product price and applies only to Stripe Connect payments.
7.2. The commission does not apply to:
- delivery fees;
- payments made outside Neta (bank transfers).
7.3. Neta reserves the right to amend the commission amount by informing Users in advance.
8. Liability
8.1. Neta shall not be liable for:
- the quality and conformity of goods offered by Sellers;
- non-performance by the Seller or the Buyer of their respective obligations;
- delivery delays or damage to goods during delivery;
- losses arising in connection with the transaction;
- temporary unavailability of the Platform due to maintenance or technical disruption.
8.2. The Seller is fully responsible for compliance with consumer protection requirements, including the provision of the right of withdrawal.
8.3. Neta's liability shall be limited to ensuring the technical operation of the Platform.
9. Force Majeure
9.1. Neta shall not be liable for non-performance or delay in performance where caused by events of force majeure, including:
- natural disasters;
- war, armed conflict, or acts of terrorism;
- orders or actions of public authorities;
- pandemics or epidemics;
- significant internet or telecommunications network disruptions.
10. Intellectual Property
10.1. The design of the Platform, logos, trademarks, and content (excluding content uploaded by Sellers) are the property of Neta or its licensors.
10.2. Users may not copy, modify, or distribute the content of the Platform without prior written permission.
10.3. Sellers represent and warrant that content uploaded by them (including images and descriptions) does not infringe the intellectual property rights of third parties.
11. Restrictions on Use
11.1. Users are prohibited from:
- using the Platform for unlawful purposes;
- publishing false, misleading, or offensive information;
- offering goods that violate laws or the rights of third parties;
- attempting to gain unauthorized access to the Platform's systems;
- using automated tools for data extraction without Neta's authorization;
- using the Platform for money laundering or other unlawful activities.
11.2. Neta reserves the right, without prior notice, to restrict or terminate access for Users who violate these Terms and to report suspicious activities to the competent authorities.
12. Personal Data
12.1. Personal data shall be processed in accordance with Neta's Privacy Policy.
12.2. By using the Platform, the User agrees to the processing of personal data in accordance with the Privacy Policy.
13. Amendments to the Terms
13.1. Neta may amend these Terms at any time.
13.2. Users shall be informed of material amendments on the Platform or by email.
13.3. By continuing to use the Platform after publication of the amendments, the User acknowledges and accepts the updated Terms.
14. Complaints and Dispute Handling
14.1. Complaints regarding goods or the actions of a Seller must be submitted directly to the Seller. Neta may assist with communication, but shall not be responsible for handling such complaints.
14.2. If a dispute with the Seller cannot be resolved, the Consumer may apply to:

- The EU Online Dispute Resolution platform (ODR) - ec.europa.eu/consumers/odr
- a court of the Republic of Latvia.
15. Final Provisions
15.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia.
15.2. Consumer rights guaranteed under the laws of the Republic of Latvia and the European Union shall not be limited by these Terms.
15.3. All disputes shall first be resolved through negotiations. If no agreement is reached, the dispute shall be resolved by a court of the Republic of Latvia. A Consumer may also bring a claim before the competent court of the Consumer's place of residence.
15.4. The Latvian-language version of these Terms shall prevail and be legally binding.
15.5. If any provision of these Terms is held to be invalid or unenforceable, this shall not affect the validity or enforceability of the remaining provisions.
15.6. Neta may amend the functionality, appearance, or availability of the Platform at any time without prior notice.
